Welcome to PR Portal. These Terms of Service ("Terms") govern your access to and use of the PR Portal website located at https://prportal.io (the "Website"), including any related services, tools, software, AI systems, and features offered by PR Portal (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
Precedence. In the event of any conflict between these Terms and any other policy published on the Platform, these Terms control.
1. About PR Portal
PR Portal is a digital public relations platform that connects individuals, businesses, creators, and organizations with media publication opportunities.
The Platform may provide services including but not limited to:
- Access to media placement opportunities
- Public relations campaign packages
- Editorial submission facilitation
- AI-assisted content generation tools
- Media discovery and outreach tools
- Publication placement coordination
PR Portal provides technology and coordination services that assist users in developing and submitting content for potential publication by independent media outlets.
PR Portal does not operate or control the editorial policies of third-party publications.
2. Acceptance of Terms
By using the Platform, you confirm that:
- You are at least 18 years old
- You have the legal authority to enter into these Terms
- You agree to comply with all applicable laws
If you access the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration
Certain features of the Platform may require account registration.
You agree to:
- Provide accurate information
- Keep login credentials secure
- Notify PR Portal immediately of unauthorized access
You are responsible for all activity that occurs under your account.
PR Portal is not liable for losses resulting from unauthorized account use.
4. Nature of Services
PR Portal provides a public relations facilitation platform, not a traditional media publisher.
Services may include:
- Access to publication opportunities
- Assistance with article preparation
- Coordination with contributors, editors, or media partners
- AI writing assistance tools
PR Portal facilitates the process of content placement but does not control final publication decisions.
Media outlets and contributors maintain full editorial independence, including the right to:
- Edit content
- Modify headlines
- Adjust formatting
- Decline submissions
- Delay publication
Where specific service packages include placement guarantees, those guarantees apply only to the terms of the purchased package.
5. Editorial Independence
All publications referenced on the Platform are independent third parties.
PR Portal does not control:
- Editorial decisions
- Article edits
- Publication timing
- Article removal policies
- Headline changes
Publication decisions remain solely with the respective editors, contributors, or media organizations.
6. User Content
Users may submit content including articles, press releases, images, branding, and other materials ("User Content").
You represent and warrant that:
- You own or have permission to use all submitted materials
- Your content does not infringe any intellectual property rights
- Your content does not violate any laws
- Your content is not defamatory, misleading, fraudulent, or harmful
You grant PR Portal a non-exclusive, worldwide, royalty-free license to store, reproduce, distribute, submit, and reformat User Content for the purpose of operating and delivering Platform services.
PR Portal reserves the right to remove content that violates these Terms.
7. AI Content Tools
The Platform may provide AI-assisted writing tools, including systems such as Jade AI, designed to help users draft articles and PR materials.
Users acknowledge that:
- AI-generated content may contain inaccuracies
- AI output may require editing or fact-checking
- AI content may resemble other publicly available material
Users remain fully responsible for reviewing, editing, and verifying all content before submission.
PR Portal makes no guarantees regarding the accuracy, originality, or reliability of AI-generated content.
8. Payment Terms
Certain services on the Platform require payment.
By purchasing services through PR Portal you agree that:
- Pricing is listed on the Website at the time of purchase
- Payments are processed through third-party payment processors
- Payment authorization is required before services begin
PR Portal reserves the right to change pricing at any time.
8A. Subscriptions and Automatic Renewal
PR Portal offers recurring monthly subscription plans, including the Starter ($149/month), Business ($299/month), and Monthly Publicity ($899/month) plans, as well as one-time credit purchases.
Automatic Renewal. By purchasing a recurring subscription, you acknowledge and agree that:
- Your subscription automatically renews each month until you cancel it
- The renewal amount is the price displayed at the time of purchase (e.g., $149, $299, or $899 USD per month, depending on your plan)
- Your payment method on file will be charged automatically on each renewal date — the same calendar day each month as your original purchase date
- If your renewal date falls on a day that does not exist in the following month (e.g., the 31st), you will be billed on the last day of that month
- You will receive a pre-renewal reminder email before each monthly charge
Cancellation. You may cancel your subscription at any time through your Account Settings page. Cancellation is effective at the end of your current billing period — you will retain access until the paid period ends, and no further charges will occur. Cancellation is prospective; we do not provide pro-rata refunds for the remaining days of a billing period, except where required by applicable law.
How to Cancel. To cancel: (1) log in to your account, (2) go to Account Settings, (3) click "Cancel Subscription," and (4) confirm. You will receive an email confirmation of cancellation. Alternatively, you may email info@prportal.io to request cancellation.
Price Changes. PR Portal may change subscription pricing upon reasonable advance notice. Any price change will take effect at the start of your next billing cycle following at least 30 days' notice. You may cancel before the price change takes effect to avoid being charged the new amount.
Credits. Monthly subscription plans include a monthly allocation of PR Portal credits. Unused credits do not roll over and expire at the end of each billing period. Credits are non-refundable. If you cancel your subscription, any remaining credits expire at the end of your current billing period.
Taxes. Prices displayed on the Platform are in US Dollars (USD) unless otherwise stated at checkout. Applicable sales tax, GST, HST, or VAT may be added to your charge based on your billing address and local tax laws. PR Portal collects and remits tax where required by law.
Consent to Recurring Charges. By clicking the subscription purchase button and completing checkout, you provide express affirmative consent to the automatic renewal terms described in this section, separate from your acceptance of these Terms. You authorize PR Portal to charge your payment method on a recurring monthly basis until you cancel. PR Portal retains a record of your consent, including the timestamp, plan, price, and disclosure text shown at the time of purchase, for at least three (3) years.
9. Placement Guarantee and Refund Policy
Binding Placement Guarantee
For subscription plans and individual publication orders where placement is booked through the Platform, PR Portal provides the following binding guarantee:
Trigger. If PR Portal fails to secure placement of your submitted content in the specific publication you booked and paid for — due to the publication rejecting your content, your niche being incompatible with the publication's editorial scope, or any reason within PR Portal's control — the guarantee is triggered.
Remedy — Customer's Election. Upon the guarantee being triggered, you may choose one of the following remedies, at your sole election:
- Full refund of the amount paid for the affected placement, processed within 10 business days; or
- Equivalent replacement placement in a publication meeting the "Equivalent Publication" criteria below.
This remedy is non-discretionary. PR Portal will process your chosen remedy without requiring you to justify your election or undergo a review process.
Equivalent Publication Criteria
Where you elect a replacement placement, the replacement publication will meet all of the following criteria, making "comparable scope" objectively testable:
- Domain Authority (DA) band: Within ±5 points of the original publication's DA score
- Domain Rating (DR) band: Within ±5 points of the original publication's DR score
- Geography: Same country or region as the original publication (e.g., US, UK, Global)
- Category: Same or adjacent publication category (e.g., business, lifestyle, technology, entertainment)
- Placement type: Same placement type (contributor article, press release, staff article, print feature, TV feature, or social post)
- Turnaround time: Equal to or faster than the original publication's stated turnaround time
What the Guarantee Does Not Cover
The placement guarantee does not extend to:
- Editorial tone, headline wording, or article positioning (these remain at the publication editor's discretion — see Section 5)
- Specific publication date or time (publications may delay publication for editorial reasons — see Section 4)
- Article permanence (publications may update or remove articles over time — see Section 5)
- Search engine rankings, AI citation, or traffic results (see Section 11 — No Guarantee of Results)
General Refund Policy
For services not covered by the placement guarantee above:
- Once content creation begins, services are considered in progress
- Once submission to media outlets occurs, services are considered delivered
Refunds for non-guaranteed services may be granted at PR Portal's discretion, considering the stage of work completed and circumstances of the request.
How to Request a Remedy
To invoke the placement guarantee or request a refund, contact info@prportal.io or submit a request through your Account Settings. PR Portal will acknowledge your request within 2 business days and process your chosen remedy within 10 business days.
9A. Publication Timeframes
Turnaround Times by Content Type
Turnaround times differ depending on the type of content you purchase. The standard estimated turnaround for each content type, measured from the point your content is approved in our editorial review and forwarded to the publication, is as follows:
- Press Releases: 1–3 business days
- Contributor Articles: 3–7 business days
- Staff Articles: 3–7 business days
Individual publications may state a longer turnaround on their listing. Where a publication lists a longer turnaround, that listed time governs for that publication and supersedes the standard estimate for its content type.
Expedited Turnaround
Publications marked as eligible for expedited turnaround offer a 3–5 business day turnaround when you submit an already-written article that follows our Article Writing Guide and Compliance Checklist. The expedited path applies only to publications explicitly marked as eligible on their listing, and only when the submitted article is pre-approved and compliant. Publications not marked as eligible are not eligible for the expedited path.
Compliance Reviews and Extended Turnaround
Certain types of content may be subject to an extended turnaround time due to compliance reviews conducted by the publication or by PR Portal. These reviews may be triggered by the content's subject matter — including but not limited to finance, cryptocurrency, securities, healthcare, CBD, gambling, adult, and politically sensitive topics — or by the publication's internal editorial and legal review processes. Such extended turnaround times cannot be foreseen or predicted prior to publishing, as they depend on factors that only arise once the publication begins its review. PR Portal will keep the client informed and updated at all times throughout the process, providing status notifications as information becomes available.
Business Days
For the purposes of all turnaround estimates in this section, "business days" are Monday through Friday, excluding US federal holidays.
When the Clock Starts
The turnaround clock begins when your content is approved in our editorial review and forwarded to the publication — not at the time of purchase or payment. Time spent in editorial review prior to approval does not count toward the turnaround estimate.
Extension Causes
Timeframes may run longer than the stated estimate in the following circumstances:
- A publication audits your content for compliance with its editorial guidelines
- Revisions are needed to meet the publication's editorial or compliance requirements
- Compliance or legal review processes extend beyond the standard window (see "Compliance Reviews and Extended Turnaround" above)
- The outlet's editorial calendar requires scheduling beyond the standard window
- Other causes outside PR Portal's reasonable control, including publication-side delays, holidays observed by the publication, or technical issues at the publication
Duty to Notify
If your placement will take longer than the stated range, PR Portal will notify you and provide a revised estimate as soon as practicable.
Non-Refundable and Non-Cancellable Once Submitted for Publishing
Once your content has been paid for and submitted for publishing — meaning it has been approved in editorial review and forwarded to the publication — the order is non-refundable and cannot be cancelled, even if the turnaround time takes longer than the stated estimate. This applies regardless of the reason for the delay, including compliance reviews, editorial scheduling, or publication-side processing. By purchasing a placement, you acknowledge and agree that turnaround time estimates are estimates only and not guarantees, and that delays beyond the estimate do not entitle you to a refund or cancellation.
The Binding Placement Guarantee in Section 9 remains available where a placement fails entirely (i.e., the content is not published at all and the longstop is reached). However, a delay — even a significant delay — does not constitute a failure to place and does not trigger the Section 9 guarantee so long as the placement remains in progress and has not reached the longstop.
Longstop and Section 9 Trigger
A placement is treated as a failure to place if it is not live within the greater of (a) 30 business days from approval, or (b) the publication's stated maximum turnaround plus 15 business days. Reaching this longstop triggers the Binding Placement Guarantee in Section 9, entitling you to a full refund or an equivalent replacement placement at your election.
Estimates Are Not Guarantees
Timeframe estimates provided on publication listings or in this section are estimates only and are not guarantees. Lateness alone — a placement taking longer than the stated estimate but not yet reaching the longstop — does not trigger the Section 9 guarantee, does not entitle you to a refund, and does not permit cancellation. The Section 9 guarantee is triggered only when the longstop is reached or when PR Portal fails to secure placement for reasons within its control.
10. Third-Party Publications and Trademarks
The Platform may reference or display the names, logos, word marks, domain authority scores, and editorial contributors of various media outlets, including magazines, news sites, broadcast networks, and digital publications (collectively, "Third-Party Publications").
Trademark Ownership. All publication names, logos, and marks displayed on the Platform are the property of their respective owners. PR Portal does not claim any ownership rights in any Third-Party Publication trademark. The inclusion of any trademark on the Platform does not imply any affiliation with, endorsement by, sponsorship from, or partnership with the trademark owner, unless PR Portal expressly states in writing that a formal partnership exists with a specific publication.
No Affiliation or Endorsement. Unless explicitly designated as a "Verified Partner" or "Contractual Partner" on the Platform, PR Portal is not affiliated with, endorsed by, sponsored by, or officially partnered with any Third-Party Publication displayed or referenced. The display of publication names, logos, or metrics — including domain authority (DA), domain rating (DR), and answer engine optimization (AEO) indicators — is provided solely for informational and comparison purposes to help users evaluate placement opportunities. Such display does not indicate that any Third-Party Publication has reviewed, approved, sponsored, or endorsed PR Portal, its services, or any content submitted through the Platform.
Nominative Use. Where PR Portal displays Third-Party Publication names and logos, it does so for the purpose of identifying the publications to which content may be submitted — a referential, nominative use. PR Portal displays only the minimum trademark material necessary to identify each publication. Notwithstanding this nominative use basis, PR Portal makes no representation that any Third-Party Publication has authorized, approved, or consented to the use of its mark on the Platform.
AI and Search Engine Marks. The Platform may display the names or logos of artificial intelligence platforms, search engines, and answer engine services (including but not limited to ChatGPT, Perplexity, Grok, and similar services). These marks are the property of their respective owners. PR Portal is not affiliated with, endorsed by, or partnered with any AI or search engine provider. References to AI "citation," "indexing," or "answer engine optimization" (AEO) capabilities describe the general technical characteristics of content published on the internet — namely that publicly accessible articles may be indexed, surfaced, or cited by automated systems. No AI platform or search engine endorses paid placement services, and PR Portal makes no guarantee that any specific content will be cited, indexed, or surfaced by any AI system or search engine.
Placement Verification. PR Portal strives to maintain accurate information regarding the placement types, turnaround times, and pricing associated with each Third-Party Publication listed on the Platform. However, publication offerings, editorial policies, and pricing are controlled by the respective publications and their contributors and may change without notice. PR Portal does not guarantee that any specific placement type will remain available at the price shown at the time of purchase. Where a selected placement is unavailable, PR Portal will offer a comparable alternative or a refund in accordance with Section 9 (Refund Policy).
Supplier Representations. Where PR Portal sources placement opportunities through third-party suppliers, contributors, or agencies, each such supplier represents and warrants that it has obtained all necessary rights, permissions, and licenses to display and sublicense any third-party marks, logos, or names associated with the placement opportunities it offers through the Platform. Suppliers agree to indemnify PR Portal against any claims arising from unauthorized use of third-party intellectual property.
Publication Independence. PR Portal is not responsible for:
- Editorial decisions made by Third-Party Publications
- Article modifications, edits, or removals after publication
- Publication policy or guideline changes
- Website outages or access restrictions of Third-Party Publications
- The continued availability of any specific placement type at any specific publication
Reporting Inaccuracies. If you believe any publication name, logo, metric, or placement offering displayed on the Platform is inaccurate, outdated, or displayed without authorization, please contact PR Portal at info@prportal.io and we will review and address the matter promptly.
10B. Sponsored Content and Native Advertising
All placements purchased through the Platform are paid media placements, not independent editorial reporting. This section incorporates by reference the Sponsored Content Disclosure Policy, which governs:
- Paid-content labelling obligations for publishers (FTC native advertising rules)
- Standing requirement for
rel="sponsored"orrel="nofollow"attributes on customer links in placed articles - Domain Authority (DA) and Domain Rating (DR) metric qualifications — these are third-party informational metrics and do not guarantee SEO outcomes, especially when links carry sponsored/nofollow attributes
- Customer acknowledgement at checkout that placements are paid features and may be labelled as sponsored
- Affiliate material connection disclosure requirements (16 CFR Part 255)
Customers acknowledge that site-reputation-abuse actions by search engines against a listed outlet may reduce or eliminate the value of placements, and that article permanence is not guaranteed (see §9). Links in placed articles may not pass search engine ranking credit due to required sponsored/nofollow attributes.
11. No Guarantee of Results
PR Portal services are designed to provide media exposure opportunities.
However, PR Portal does not guarantee:
- Increased sales
- Increased website traffic
- Improved reputation
- Search engine rankings
- Business success
Results vary depending on numerous external factors.
12. Acceptable Use
Users agree not to use the Platform for:
- Unlawful activities
- Fraudulent or misleading press releases
- Impersonation
- Market manipulation or financial misinformation
- Spam or malicious activity
- Harassment or defamation
PR Portal may suspend or terminate accounts that violate these rules.
12A. Financial and Securities Compliance
Securities Law Compliance.
Customers submitting content that references a publicly traded security, a cryptocurrency token, a securities offering, or a fundraise ("Securities Content") must comply with Section 17(b) of the Securities Act of 1933, applicable Canadian provincial securities law, and all other applicable securities regulations.
Auto-Injected Disclosure.
PR Portal automatically injects a paid-promotion disclosure block into articles identified as Securities Content. The disclosure states the payer's identity and the amount or nature of consideration paid. Customers may not remove, alter, or obscure this disclosure. Tampering with the disclosure is a material breach of these Terms and will result in immediate suspension of the affected submission and potential account termination.
Customer KYC.
For orders in the Finance or Crypto verticals, the customer must provide, at checkout:
- The identity of the issuer or entity being promoted
- The customer's relationship to the issuer (officer, director, shareholder, investor, or third party)
- The stock ticker or token identifier, if applicable
- Whether a securities offering or fundraising round is currently live or anticipated
Orders will not be processed until this information is provided and verified.
Prohibited Content.
Customers may not submit content that:
- Promotes an unregistered securities offering or unregistered token sale
- Contains "guaranteed return," "risk-free investment," or similar claims
- Constitutes market manipulation, pump-and-dump activity, or coordinated promotional campaigns
- Omits material facts necessary to prevent the article from being misleading
- Promotes a security where the buyer is an insider without disclosing that relationship
Representations and Indemnity.
By submitting Securities Content, the customer represents and warrants that:
- The customer has disclosed all material relationships with the issuer
- All factual claims about the issuer, its financials, or its securities are accurate and not misleading
- The content and its disclosure comply with all applicable securities laws, including §17(b)
- The customer has obtained any required regulatory approvals or registrations
The customer indemnifies and holds harmless PR Portal, its officers, employees, contractors, and partners from any claims, damages, liabilities, investigations, or enforcement actions (including legal fees) arising from or relating to securities-law violations connected to the customer's content. This indemnity survives termination of the customer's account and is in addition to the general indemnification in Section 15.
Publisher Flow-Through.
PR Portal will not submit Securities Content to any publication that refuses to carry the required paid-promotion disclosure. The disclosure must be retained in the published version of the article.
13. Intellectual Property
All materials on the Platform including software, branding, design, graphics, AI systems, and proprietary technology are owned by PR Portal or its licensors.
Users may not copy, distribute, reverse engineer, or reproduce Platform materials without written permission.
14. Limitation of Liability
To the maximum extent permitted by law, PR Portal shall not be liable for:
- Indirect damages
- Loss of profits
- Reputational harm
- Loss of data
- Publication delays
- Editorial modifications by third-party publications
PR Portal's total liability for any claim shall not exceed the amount paid by the user for services within the previous twelve (12) months.
15. Indemnification
You agree to indemnify and hold harmless PR Portal, its officers, employees, contractors, and partners from any claims, damages, liabilities, or expenses arising from:
- Your User Content
- Your misuse of the Platform
- Violation of these Terms
- Infringement of third-party rights
16. Platform Availability
PR Portal does not guarantee uninterrupted access to the Platform.
The Website may experience downtime due to:
- System maintenance
- Updates
- Technical issues
- Third-party service interruptions
17. Termination
PR Portal may suspend or terminate access to the Platform if a user:
- Violates these Terms
- Submits illegal or harmful content
- Abuses the Platform or its services
Users may stop using the Platform at any time.
18. Changes to Terms
PR Portal may modify these Terms periodically.
Updated versions will be posted on the Website with a revised "Last Updated" date.
Continued use of the Platform constitutes acceptance of the updated Terms.
19. Governing Law and Dispute Resolution
Governing Law
These Terms, and any dispute arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Two-Track Dispute Resolution
PR Portal serves both business customers and individual consumers. To respect the different legal protections that apply to each, the following two-track framework applies:
- Business and agency customers. For users acting in a business or commercial capacity (including agencies, publishers, and trade customers), any dispute shall be resolved exclusively in the state or federal courts located in Delaware, United States. Each party submits to the personal jurisdiction of those courts and waives any objection to venue.
- Individual consumers. For users acting as individual consumers, nothing in these Terms limits any non-waivable rights you have under the consumer protection laws of your country or province of residence — including but not limited to the British Columbia Business Practices and Consumer Protection Act, the EU Consumer Rights Directive and Rome I Regulation, the UK Consumer Rights Act 2015, and the California Consumer Privacy Act. You retain the right to bring proceedings in, and benefit from the mandatory consumer protections of, the courts of your domicile where mandatory law so provides.
Preservation of Mandatory Consumer Rights
Nothing in this section, or anywhere else in these Terms, operates to waive or exclude any statutory consumer right that cannot be waived or excluded by contract under the laws of your country or province of residence. If any provision of these Terms is found to be unenforceable in respect of a consumer because it conflicts with such mandatory law, that provision shall apply only to the maximum extent permitted and shall not affect the enforceability of the remainder of these Terms.
Informal Resolution
Before initiating formal proceedings, the parties shall attempt in good faith to resolve any dispute informally within 30 days of written notice. Notices of disputes should be sent to info@prportal.io.
Incorporation by Reference
This governing-law and dispute-resolution framework applies to these Terms and is incorporated by reference into all related policies, including the Refund Policy, Exchanges Policy, Acceptable Use Policy, and Publisher Agreement. In the event of a conflict between this section and a specific policy, this section controls.
